Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Etornie AG, a Swiss company registered at Ruessenstrasse 5, 6340 Baar, Switzerland ("Etornie", "we", "us"). By signing up for or using the Services, you accept these Terms. If you accept on behalf of a firm, you represent you have the authority to bind that firm.

2. The Services

Etornie provides a hosted IP-management platform with case tracking, document management, AI-assisted drafting, deadline-tracking agents, and optional on-chain attestation features. The Services are accessed via the web app, the attorney portal, and the public APIs at etornie.com and etornie.xyz.

EtornieGPT and the IP Agent generate suggestions, drafts, and reminders based on machine-learning models. Outputs may be incomplete, inaccurate, or unsuitable for your matter. No AI output constitutes legal advice. A qualified attorney must review every output before it is filed, sent, or relied upon. You remain solely responsible for the substantive content of your filings.

6. On-chain features

Solana attestations are immutable — once written, they cannot be deleted, edited, or recalled. You are responsible for verifying the inputs of any attestation before signing. Etornie is not liable for downstream interpretation of on-chain records by third parties (registries, courts, marketplaces).

7. Customer data & IP

You retain all rights to the data you upload ("Customer Data"). You grant Etornie a worldwide, non-exclusive, royalty-free licence to host, process, and display Customer Data solely to provide the Services. Etornie owns the platform itself and does not claim rights to your filings, dossiers, or AI outputs you save.

8. Confidentiality

Each party shall protect the other’s confidential information with at least the same care it uses for its own and shall not disclose it except as required to provide the Services or as required by law.

9. Warranties & disclaimers

The Services are provided “as is”. To the maximum extent permitted by Swiss law, Etornie disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by Swiss law, Etornie’s aggregate liability under these Terms shall not exceed the fees paid by you to Etornie in the 12 months preceding the event giving rise to the claim. Etornie is not liable for indirect, incidental, or consequential damages, lost profits, or lost data, even if advised of the possibility.

11. Termination

Either party may terminate for material breach not cured within 30 days of written notice. On termination, your access ends and your data is retained per the Privacy Policy.

12. Governing law & jurisdiction

These Terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Exclusive jurisdiction lies with the courts of Zug, Switzerland, subject to mandatory consumer-protection rules.

13. Changes

We may update these Terms with at least 30 days’ notice for material changes. Continued use of the Services constitutes acceptance.
